SHARED GROWTH / AN INFINITE GAME

THE FUTURE GROWS WITH EVERY CONTRIBUTION.

Every contribution.
A shared future.

Talent, capital, and resources all move us forward.
Share in the value you help create—with equity grounded in real contributions.

TIME + CAPITAL + RESOURCES → SHARED GROWTH

MANY CONTRIBUTIONS. SHARED GROWTH.

MANY WAYS TO CONTRIBUTE. ONE SHARED FUTURE.

Every part matters.
The whole grows.

THE IDEA BEHIND THE RULE

Describe contribution.
Encourage more of it.

Equity allocation should be a model of actual contribution: a way to describe who helped create value, rather than who negotiated the strongest promise.

The closer rewards track meaningful contributions, the clearer the reason to keep contributing well. Better records and more accurate assessments help sustain that link over time.

02 / A NEW STAGE. A NEW OPENING.PARTICIPATION DOESN’T END AT THE START.

Room for the next
great contribution.

Each new stage creates a fresh allocation for its contributors. Earlier contributions retain their place, with a clear, agreed path for how their overall share changes.

MOVE THROUGH THE STAGES
THE STAGE-WEIGHT RULE1 : 2 : … : N

01

Keep the door open.

New participants can earn new-stage interests through talent, capital, or resources.

02

Know the path ahead.

Stage weights are calculable in advance. All existing interests use the same transition factor.

03

Honor what came before.

Confirmed within-stage shares stay fixed as overall weights evolve.

03 / SEE THE WHOLE PICTURE

A smaller percentage.
A bigger possibility.

Ownership percentage is only part of the story. When company value grows enough, an earlier contribution can become more valuable—even as its percentage decreases.

Follow the same Stage 1 contribution through three historical stages and an illustrative Stage 4. Reference values are modeled economic interests, not realized returns.

Stages 1–3 use historical reference values. Stage 4 assumes a ¥9M stage value pool: 40% of a ¥22.5M company valuation. Values are illustrative, not realized returns.

04 / PUT OUR ENERGY IN THE SAME DIRECTION

More energy creating.
More value to share.

Give talent, capital, and resources a shared framework for completing the next milestone. Spend less effort renegotiating the rules, and more on what we can make possible together.

CLEAR RULES. CONTINUING POSSIBILITIES.

What stays.
What changes.

What if I stop contributing?

Your confirmed historical within-stage shares remain. Their overall company weight changes as new stages open. New-stage allocations follow new contributions; they are not automatically awarded to existing participants.

What makes a new stage legitimate?

Stages correspond to defined milestones. Entry also requires the agreed governance conditions: independent third-party priced financing, or a written company resolution with the specified external-investor consent. A date or internal announcement alone does not authorize a new stage.

Does the ledger eliminate judgment?

No. Assessing labor, resources, and impact still requires judgment. Records, explicit criteria, published assessments, and review rights make that judgment more accountable. AI supports the process; it does not replace the human decision.

About the mechanism: allocations depend on assessed contributions, review, and valid stage-entry approvals. Dynamic economic interests are distinct from registered equity and are governed by signed agreements. The 1:2:…:N weighting is heyBene’s chosen rule; its benefits depend on sound measurement and governance.
